On a manual sure its fine. On an auto no it wont fit and it isnt the same.
The lsj downpipe is shorter and the cat will still hit on your car it will not fit without modification!
Search on here someone posted up a howto/Comparison.
Im running a ZZP downpipe for a manual car on my car and its hitting on the swaybar and it pulled the catback about a half inch forward so the tip is now slightly under the bumper. So in early feb I have to go to the exhaust shop to get the downpipe modified slightly.
I have pictures in my members gallery of the zzp manual 3 inch catted downpipe with the stock auto LE5 downpipe above it. Take a look you can see the differences.

As G85_SS said... your heat shield might be rattling... so I'd check that first.
If it is your Cat that is "rattling" then just drive it a little bit more spiritedly. A couple of WOT trips here and there. What is probably happening in that case, is that the cat's internals are falling out. The WOT trips will blow them loose... I don't know that this will help you though, if you are still on stock cat-back. I'm not sure that the design of the stock cat-back system will still allow them to blow through or if they'll clog up the passage way of the exhaust.

well,i was just on the highway and it sounds bad at wot.something is rattling.when i had my new tires installed i asked the guy to check it and he said something is rattling in the cat.i believe its covered under warranty if the lsj wont fit.
also will using the header from the same car alleviate the problem?

would welding in a magnaflow cat solve the fitment problem?
took it to the dealer, turns out the flange was cracked just before the cat.they are replacing downpipe free of charge.
